Embattled publisher Embracer sells off Saber assets, withdraws from Russia

Troubled video game publisher Embracer has announced the sale of more of its assets - this time, large portions of Saber Interactive, for the price of $247m.

In a financial call this morning, Embracer said the sale means it will cease all operations in Russia, something that will help it "reduce [its] geopolitical risk" - though the buyer, a company named Beacon Interactive, is founded by Saber Interactive co-founder Matthew Karch.

In terms of actual studios, the deal will see Embracer sell off all Saber Interactive-branded studios, plus New World Interactive, Nimble Giant Entertainment, 3D Realms, Slipgate Ironworks, Mad Head Games, Fractured Byte and Sandbox Strategies.

Embracer will retain Aspyr, TripWire, Beamdog, Tuxedo Labs, Demiurge, Shiver, Snapshot Games and 34 Big Things.


The sale will reduce Embracer's debt by 2.1bn Swedish kroner, or around £160m.

The Buyer is granted an option right to acquire 4A Games and Zen Studios for a fixed price within a certain time period. Due to commercial reasons the parties have agreed not to disclose full terms. The Board of Embracer is, however, confident that the exercise price stipulated in the option right reflects at least the studios' market value and is significantly higher than the current net book value (including goodwill) of USD 81 million (SEK 829 million). In addition to paying the exercise price the Buyer will, if exercising the option right, assume additional earnout liabilities of approximately USD 31 million (SEK 317 million). Long-term license and publishing rights to all current and future PC/console games in the Metro franchise are held within the Embracer operative group PLAION. These rights will not change regardless of whether the option rights are exercised. During the past 12 months, 4A Games and Zen had net sales of SEK 191 million, Adjusted EBIT of SEK 65 million and EBITDAC[2] of SEK 19 million.

Take-Two acquires Borderlands studio Gearbox from Embracer for $460m

Borderlands 4 in "active development".

Embracer has entered an agreement to sell Gearbox Interactive to Take-Two for $460m.

When this transaction is complete, Take-Two will acquire the Borderlands and Tiny Tina's Wonderlands franchises, as well as Homeworld, Risk of Rain, Brothers in Arms and Duke Nukem. Closing is expected to be finalised in Q1 FY 24/25, ending June 2024.

Following this, Embracer will still retain a number of assets such as Lost Boys, which Gearbox acquired in 2022.

The divested assets from this sale include:

Gearbox Software (Frisco, Texas)
Gearbox Montréal
Gearbox Studio Quebec
Borderlands and Tiny Tina's Wonderlands franchises, as well as Homeworld, Risk of Rain, Brothers in Arms and Duke Nukem

Meanwhile, Embracer's retained assets from this deal include:

Gearbox Publishing San Francisco (to be renamed prior to closing, formerly named Perfect World Entertainment), including the publishing rights to the Remnant franchise, the upcoming Hyper Light Breaker and other notable unannounced game releases
Cryptic Studios, including MMO titles Neverwinter Online and Star Trek Online.

Those company names may be some of the worst that I've heard of! Coffee Stain & Friends and Middle-earth Enterprises & Friends?!? :lol: .

The Middle-earth one seems particularly bad as whilst it may suit Lord of the Rings you have to wonder about a major franchise like Tomb Raider getting lumped into the "& Friends" bit. I'm struggling to imagine how you move from Embracer Group to "... & Friends" :o .

That should make it easier to sell in chunks like this than as a massive entity.

Amazon has to be in the running to buy the Middle Earth and Tomb Raider company surely if they're producing LotR and Tomb Raider content.

They had first dibs on publishing rights I think. So it would have to be offered to them before any other publisher. They didn't own the IP, but the IP is basically worthless without the rights to publish.
